Terms and Conditions
	Terms of Service To be an authorized affiliate of Online Courses, LLC (DBA "myWealth.com"), you must agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the myWealth.com service as an affiliate. By signing up for the myWealth.com affiliate program, you indicate your acceptance of this Agreement and its terms and conditions. Violation of any of the terms below will result in the termination of your account and for forfeiture of any outstanding affiliate commission payments earned during the violation. You agree to use the Affiliate Program at your own risk. Affiliate Agreement •You must be 18 years or older to be part of this Affiliate Program and supply a valid tax-id, which may be your social security number for individuals, or a federal tax-id for corporations or entities. •You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process. •The potential affiliate warrants that he or she has the legal capacity to enter into a binding contract, and, if appropriate, has the authority to bind his or her principal or employers to the agreement. •myWealth.com’s service is made available to you "AS IS" and "AS AVAILABLE", and myWealth.com makes no warranty as to its use or performance. •You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. •You may place myWealth.com’s banners, text ads, text links or any other ads anywhere on your site as you see fit, or within non-spam emails. Any link placed must be done in such a way that it is not misleading to any Visitor and done with the intention of delivering valid sales to myWealth.com. •You are responsible for maintaining the security of your account and password. myWealth.com cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. •You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account). •Accounts registered by “bots” or other automated methods are not permitted. •You may not use the Affiliate Program for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). •You may not issue any press release with respect to this agreement or your participation in the program without myWealth.com's prior approval; such action may result in your termination from the program. In addition, you may not in any manner misrepresent or embellish the relationship between us and you, say you develop our products, say you are part of myWealth.com, or express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by this Agreement (including by expressing or implying that we support, sponsor, endorse, or contribute money to any charity or other cause). You may not purchase products through your affiliate links for your own use. Such purchases may result (in our sole discretion) in the withholding of referral fees and/or the termination of this agreement. •The term of this Agreement will begin upon our acceptance of your Affiliate application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause. Affiliate Payout Agreement •New affiliates are given a $20 sign up bonus upon an approved registration to myWealth’s Affiliate Program •Affiliate payout is structure as a tiered flat rate. Affiliates are paid 50% for each successful sale generated via the designated affiliate link provided. •myWealth.com reserves the right to set different pay rates and prices for specific affiliates and/or products offered. •Minimum commission payout of myWealth.com is $100. If the balance of an affiliate's account is less that $100 the balance will roll over to the following month or until the minimum payout balance is met. •We pay our affiliates on a monthly basis. Payments are made on or before the 15th of each month. Payments may be issued via physical check or through PayPal, if applicable. •Physical address listed for receiving checks MUST be your actual address. Mail forwarding services, for the purpose of avoiding network demographics, is NOT allowed. •Affiliate accounts that are left inactive (‘abandoned”)will be removed from our system if their balance is equal to or less than $100. An abandoned affiliate account is defined as any account that has not been access for a period of 6 months, nor have any transactions been posted to that account. If one or the other of those conditions are true - the account will remain in an active state. myWealth.com Does Not Permit •myWealth.com has strict anti-spam policies regarding internet programs. myWealth.com does not condone spam by affiliates. This includes, but is not limited to, spam via email, instant messaging, ICQ, chat rooms, message boards, online forums, banner networks, hit farms, counters, or guestbooks. Unsolicited advertising in any form is not condoned by myWealth.com in any manner. Any affiliate found to be involved in any of these types of activities will be terminated and shall expect no affiliate payment compensation. •Sites that promote illegal activity, terrorism, anti-government activity or discrimination based on race, sex, religion, sexual orientation or physical disability are not permitted to participate in myWealth.com affiliate program. •Any affiliate whose site promotes or contains content pertaining to Adult, Hate, Rape, Child Pornography, acts of violence, or any other illegal content will have their accounts terminated immediately. •Any affiliate who violates or infringes upon 3rd party copyright, trademark, patent, or any intellectual property rights will have their account terminated immediately. This includes, but is not limited to, fraudulent activity against any other program. •MyWealth has strict anti-fraud policies and regards fraud as a serious offense, and will be treated as such. Fraud is defined as any action that intentionally attempts to create sales, leads, or click-throughs using robots, frames, iframes, scripts, or manually "refreshing" of pages, for the sole purpose of creating commissions. ANY ATTEMPTED FRAUD OR FRAUD WILL RESULT IN ACCOUNT TERMINATION AND VOIDED COMMISSIONS. myWealth.com Reserves The Right •myWealth.com reserves the right to terminate any Affiliate for any reason, including but not limited to, fraud or suspected fraud. Fraud includes, but is not limited to, the submission of unauthorized purchases, or providing unsolicited advertisements. Upon termination of an affiliate's account, the affiliate member must immediately cease using myWealth.com names and images and representations of myWealth.com thereof on their site. •myWealth.com reserves the right to withdraw commission from any affiliate due to lack of payment, refunds or cancellations from the buyer. Affiliates will not receive referral commissions from referred purchases which are returned for any reason. •myWealth.com reserves the right to change the terms and conditions of their affiliate program without prior notice, including the right to discontinue this program. In the event that myWealth.com discontinues its affiliate program, it will pay all affiliates the balance of their accounts. •myWealth.com reserves the right to deem any site inappropriate and reject the affiliate application to become a member of myWealth.com. myWealth.com is not obligated in any way to reveal the reasons for termination of referred affiliates. If you are terminated due to failure to comply with these Terms, myWealth.com has the right to withhold any or all of the commission you earned within your account and may not be allowed to re-join myWealth.com’s program. •The affiliate agrees to defend, indemnify, and hold harmless myWealth.com and its directors, officers, agents, and employees for any and all losses, costs, liabilities or expenses (including, without limitation, reasonable attorneys' and expert witnesses' fees) incurred or arising from: o any breach of Affiliate's Covenants o any user-generated content or o any claims arising from the sale or license of goods or services promoted or made available through the campaign. •myWealth.com’s indemnity rights shall not be limited or offset by any contributory negligence by myWealth.com. myWealth.com may participate in the defense at its expense. •From time to time myWealth.com may send e-mail to affiliates with regard to system updates, promotions, or offers. Affiliates agree to receive this e-mail by signing up for the myWealth.com Affiliate Program. This e-mail is provided on an opt-out basis -- an affiliate can unsubscribe from receiving these updates. CHANGES TO THE SERVICE myWealth.com reserves the right to change, modify, add or remove portions of this Agreement at any time and may add to, change, suspend or discontinue any aspect of the Service at any time. In the event of any material change, shareasale.com will notify each Affiliate via e-mail, newsletter or myWealth.com’s website at least 7 days prior to any such changes taking effect, at which time you may either agree to such changes or withdraw from the Affiliate Program. NON-DISCLOSURE myWealth.com acknowledges that in the course of this agreement it may have access to confidential and proprietary information ("Confidential Information") of your company. myWealth.com agrees not to disclose or disseminate the Confidential Information without your prior express written consent. The term "Confidential Information" shall not include information that is or becomes part of the public domain through no action or omission of myWealth.com, that becomes available to myWealth.com from third parties without knowledge by myWealth.com of any breach of fiduciary duty, or that shareasale.com had in its possession prior to the date of this Agreement. myWealth.com does not collect information about a Merchant’s customer transactions, other than what is passed to us through the installed tracking code and displayed on your own transaction reports. Any information we receive is used solely for tracking and Commission payment purposes. myWealth.com reserves the right to be able to utilize this data in aggregate to analyze Service trends, monitor Service efficiencies, and perform such other analysis as myWealth.com deems appropriate. LIMITATION OF LIABILITY MYWEALTH.COM OR ITS SUPPLIERS OR RESELLERS OR MERCHANTS SHALL NOT BE LIABLE TO YOU OR ANY OTHER PERSON FOR (I) ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER ARISING OUT OF THE USE OF OR INABILITY TO USE THE MYWEALTH.COM SERVICE OR ANY INFORMATION PROVIDED ON THE MYWEALTH.COM WEB SITE OR ANY OTHER HYPERLINKED WEB SITE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA, EVEN IF MYWEALTH.COM OR A MYWEALTH.COM AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS OR OTHER INACCURACIES IN THE WEB SITE OR ANY HYPERLINKED WEB SITE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, MYWEALTH.COM'S LIABILITY IS LIMITED TO THE SMALLEST AMOUNT PERMITTED BY LAW. THIS PARAGRAPH WILL SURVIVE THE FAILURE OF ANY EXCLUSIVE OR LIMITED REMEDY. You agree that myWealth.com, although the provider of the Service, has no responsibility or liability as a result of your placement of authorized Links from Your Web site, and You, and the Merchant, jointly and severally agree to indemnify, defend, and hold harmless shareasale.com and its affiliates, officers, directors, employees and agents from and against any and all liability, claims, losses, damages, injuries or expenses (including reasonable attorneys' fees) directly or indirectly arising from or relating to any offer or any other matter related to this Agreement or the subject matter hereof and any dispute relating thereto. myWealth.com agrees to indemnify, defend, and hold harmless Affiliate and its affiliates, officers, directors, employees and agents from and against any and all liability, claims, losses, damages, injuries or expenses (including reasonable attorneys' fees) directly or indirectly arising from or relating to myWealth.com 's negligence or willful misconduct in performance of the Services or its breach of this Agreement. LIMITED WARRANTY The Service, its operation, its use and the results of such use shall be performed in a workmanlike manner. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, myWealth.com DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, IN RELATION TO THE SERVICE, ITS USE AND THE RESULTS OF SUCH USE. WITHOUT LIMITING THE FOREGOING, myWealth.com SPECIFICALLY DISCLAIMS ANY WARRANTY (A) THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, (B) THAT DEFECTS WILL BE CORRECTED, (C) THAT THERE ARE NO VIRUSES OR OTHER HARMFUL COMPONENTS, (D) THAT THE SECURITY METHODS EMPLOYED WILL BE SUFFICIENT, OR (E) REGARDING CORRECTNESS, ACCURACY, OR RELIABILITY. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. The Merchant will make reasonable commercial efforts to keep its transaction service operational during normal business hours. However, certain technical difficulties may, from time to time, result in temporary service interruptions. Affiliate understands and acknowledges that it is normal to have a certain amount of system downtime and further agrees not to hold the Merchant liable for any of the consequences of such interruptions. MERCHANT SHALL HAVE NO LIABILITY FOR UNAUTHORIZED ACCESS TO, OR ALTERATION, THEFT OR DESTRUCTION OF ANY WEB SITE OF AFFILIATE OR AFFILIATE CUSTOMER DATA FILES OR SYSTEMS OR PROGRAMS THROUGH ACCIDENT, FRAUDULENT MEANS OR DEVICES. MERCHANT SHALL HAVE NO LIABILITY WITH RESPECT TO MERCHANT OBLIGATIONS HEREUNDER OR OTHERWISE FOR CONSEQUENTIAL, EXEMPLARY, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES EVEN IF MERCHANT HAS BEEN NOTIFIED OF SUCH DAMAGES. ANY LIABILITY OF MERCHANT HEREUNDER SHALL BE LIMITED TO THE REVENUE EARNED BY MERCHANT AS A DIRECT RESULT OF THIS AGREEMENT.
